Definitions

Throughout these Terms, the following capitalized terms have the meanings set out below.

Acceptance of Terms

By creating an Account, clicking "Sign Up," or otherwise accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy and Refund Policy, each of which are incorporated into these Terms by reference.

If you are using the Service on behalf of a company or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms, and "you" refers to both the individual and that entity.

If you do not agree to these Terms, you must not access or use the Service.

Account Registration

3.1 Registration

To access the Service you must register for an Account by providing a valid email address and completing our email-verified one-time password (OTP) flow. You agree to provide accurate, current, and complete information and to keep it updated.

3.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your Account. You must immediately notify us at support@usemantis.app if you suspect any unauthorized access.

3.3 One Account Per Person

Each Account is intended for use by a single individual. Creating multiple Accounts to circumvent plan limits, free trial allocations, or any other Service restrictions is prohibited and may result in immediate termination of all associated Accounts.

3.4 Account Transfers

You may not transfer, sell, or assign your Account to another party without prior written consent from Mantis.

Services & Permitted Use

4.1 Permitted Use

Subject to these Terms and your Plan, Mantis grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own lawful internal business purposes.

4.2 Prohibited Conduct

You agree not to:

• Use the Service to crawl websites you do not own or do not have explicit permission to audit.
• Attempt to reverse-engineer, decompile, or disassemble any part of the Service.
• Use automated means (other than our provided API) to scrape, extract, or harvest Output at scale.
• Resell, sublicense, or otherwise commercialize Output or the Service itself without our written consent.
• Submit Content that is unlawful, defamatory, obscene, or that infringes any third-party intellectual property rights.
• Interfere with or disrupt the integrity or performance of the Service, including through denial-of-service attacks or excessive automated requests.
• Circumvent any access controls, rate limits, plan restrictions, or authentication mechanisms.
• Use the Service in a way that violates any applicable law or regulation.

4.3 Crawl Responsibility

You are solely responsible for ensuring you have the right to crawl any URL you submit to the Service. Mantis crawls URLs on your instruction and is not liable for any claims arising from crawling a website you did not have permission to audit. Mantis respects robots.txt directives by default; overriding these directives is your responsibility.

4.4 Availability

We strive for high availability but do not guarantee uninterrupted access. Scheduled and emergency maintenance may cause temporary outages. We will provide reasonable advance notice of planned maintenance where possible.

4.5 Twiggy, our AI Support Assistant

Signed-in users can ask Twiggy, an AI assistant, questions about using Mantis. Twiggy is provided free of charge as part of the Service and:

• Has fair-use daily message limits that depend on your Plan. Limits reset daily and may be reached sooner when overall demand is high.
• May be changed, limited, paused, or withdrawn at any time, including when our AI providers are unavailable.
• Cannot see your website, scans, or Account, and cannot make changes to your Account, subscription, or Balance. Cancellations, refunds, and other account actions are handled only through your dashboard or our support team.
• Sends your conversation to our support team only if you choose “Talk to a person”.

When using Twiggy you agree not to: send automated or bulk requests; try to get around its message limits; attempt to make it produce harmful, unlawful, or misleading content or reveal its internal instructions; or submit passwords, payment card details, or other sensitive personal data.

Plans, Billing & Balance

5.1 Subscription Plans

Mantis offers paid subscription plans billed monthly or annually. Current plans, pricing, and included allowances are published at usemantis.app/pricing. We reserve the right to change plan pricing with at least 30 days' notice to existing subscribers.

Scans are counted per site (domain) and per Account in each billing period. The Agency plan includes up to five (5) sites and 8 scans per month per site, with up to 40 scans per month across all sites. Removing a site or changing its address deletes that site's scans and results, but the scans it already used still count for the rest of the billing period. When you move from Agency to a plan with fewer sites, you choose the sites to remove; they are deleted when the change takes effect.

5.2 Billing

Our order process is conducted by our online reseller Paddle.com (Paddle.com Market Ltd), which is the merchant of record for all our orders and processes all payments. By providing a payment method you authorize Paddle to charge that method on each billing cycle. Subscriptions renew automatically unless cancelled before the renewal date.

5.3 Bonus Days

New subscribers may receive bonus days on their first billing period calculated as max(0, 14 − days since account creation). Bonus days extend the first billing cycle only and are applied as a trial period on the Paddle subscription.

5.4 Balance

• Active paid-plan subscribers may top up their Balance to run specific-page audits in addition to their monthly scan allowance. Once a site has no scans left in the current billing period, a full-site scan of it may also be paid from Balance.
• Each top-up adds its face value in US dollars to your Balance. The minimum top-up is $5.00.
• A 10% discount is automatically applied to the price of any single top-up of $50.00 or more; the full face value is still added to your Balance.
• When a specific-page audit starts, the maximum cost of the audit is reserved from your Balance. When the crawl finishes, you are charged only for pages that were successfully crawled, and the rest of the reservation is released. Audits that crawl no pages are not charged.
• The per-page rate depends on your Plan and may change. A change never affects an audit that has already started.
• Balance you buy does not expire. Free credit given by the Mantis team expires on the date shown on your Balance page and is used before balance you bought.
• Balance is non-refundable except where explicitly provided in our Refund Policy.
• Free-plan users cannot top up a Balance.
• Balance is non-transferable between Accounts and has no cash value.

5.5 Taxes

All prices are exclusive of applicable taxes. As merchant of record, Paddle calculates and collects any sales tax, VAT, or similar tax due at checkout, based on your location.

5.6 Failed Payments

If a renewal payment fails, or a subscription ends or is cancelled outside Mantis, your Account moves to the Free plan straight away and paid features are suspended. Paddle may retry the payment in accordance with its standard payment-recovery schedule; if a retry succeeds, your plan is restored. Where your Account has more sites than the Free plan allows, the site you scanned most recently is kept and the others become inactive. Inactive sites, with their scans and results, are deleted fifteen (15) days later unless you renew before then. We email you when this happens and again three (3) days before deletion.

Free Plan

The Free plan provides exactly three (3) lifetime scans, each capped at five (5) pages. This allocation is tracked permanently in your Account and is not renewed monthly. Once all three scans are used, the Free plan provides no further scanning capability.

Free-plan users may not top up a Balance, use bot-protected site crawling (Bright Data Unlocker), or access any feature gated behind paid plans.

Upgrading to a paid plan starts a fresh monthly quota independently of any free scans used. Free scan usage is never counted against paid plan allowances.

Intellectual Property

7.1 Mantis IP

The Service, including its software, algorithms, scoring models, user interface, branding, and documentation, is owned by Mantis and protected by copyright, trade secret, and other intellectual property laws. These Terms do not grant you any rights in Mantis IP except the limited license set out in Section 4.1.

7.2 Output

Subject to your compliance with these Terms and payment of all applicable fees, you own the Output generated from your Content. You may use Output for any lawful purpose. Mantis retains the right to use anonymized, aggregated Output data to improve and develop the Service.

7.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant Mantis a perpetual, irrevocable, royalty-free license to use that feedback without restriction or compensation to you.

Your Data & Content

You retain all rights to Content you submit to the Service. By submitting Content, you grant Mantis a limited license to process, store, and transmit that Content solely to provide and improve the Service.

You represent and warrant that: (a) you own or have the right to submit your Content; (b) your Content does not violate any third-party rights or applicable law; and (c) you have obtained any necessary consents for Mantis to process your Content.

8.1 Activity Logging

Mantis logs user activity — including scans started, fixes approved, balance top-ups, and billing events — with associated IP addresses for security, abuse prevention, and support purposes. These logs are retained indefinitely.

Third-Party Services

The Service integrates with or relies on third-party providers including OpenAI (GPT-4o), Groq and Cloudflare Workers AI (AI models that power Twiggy, our support assistant), Bright Data (web crawling infrastructure), Paddle (payments, as merchant of record), Resend (transactional email), and Google PageSpeed Insights. Your use of these integrations may be subject to those providers' own terms of service.

Mantis is not responsible for the availability, accuracy, or conduct of third-party services. Any degradation in a third-party service may affect Service performance and does not constitute a breach of these Terms by Mantis.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

Mantis does not warrant that: (a) the Service will be uninterrupted, error-free, or secure; (b) SEO scores or GEO readiness assessments will result in any particular search ranking outcome; (c) AI-generated fix suggestions are legally compliant or suitable for your specific use case; (d) crawl results will be complete or accurate for all websites; or (e) answers from Twiggy, our AI support assistant, will be accurate, complete, or up to date.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MANTIS, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE.

IN ALL CASES, MANTIS'S AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO MANTIS IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) $100 USD.

These limitations apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if Mantis has been advised of the possibility of such damages.

Indemnification

You agree to defend, indemnify, and hold harmless Mantis and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:

• Your use of the Service in violation of these Terms.
• Your Content, including any claim that your Content infringes third-party rights.
• Your crawling of websites without authorization.
• Your violation of any applicable law or regulation.

Termination

13.1 By You

You may cancel your subscription at any time through your billing settings. If you have run any scans since your last payment, cancellation takes effect at the end of the current billing period for monthly plans, or at the end of the current subscription month (with a refund for the months not yet started) for annual plans; if you have not, you receive a refund of 90% of your last payment (the payment processor keeps its fee on refunds) and the cancellation takes effect immediately. See our Refund Policy. You may delete your Account by contacting support.

13.2 By Mantis

We may suspend or terminate your Account immediately, without prior notice, if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or pose a risk to the Service or other users.

13.3 Effect of Termination

Upon termination: (a) your license to use the Service ends immediately; (b) your access to your Account, scan history, and Output is removed; (c) any unused Balance is forfeited unless we otherwise agree or our Refund Policy provides otherwise; (d) all provisions of these Terms that by their nature should survive termination (including IP ownership, disclaimers, and limitation of liability) shall survive.

Governing Law

These Terms are governed by and construed in accordance with applicable law. Any disputes arising under these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration before a mutually agreed arbitrator.

Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property or confidential information.

Changes to Terms

We may revise these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, notify you by email to the address associated with your Account.

Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service and cancel your subscription before the effective date.
