Definitions

Throughout these Terms, the following capitalized terms have the meanings set out below.

Acceptance of Terms

By creating an Account, clicking "Sign Up," or otherwise accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy and Refund Policy, each of which are incorporated into these Terms by reference.

If you are using the Service on behalf of a company or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms, and "you" refers to both the individual and that entity.

If you do not agree to these Terms, you must not access or use the Service.

Account Registration

3.1 Registration

To access the Service you must register for an Account by providing a valid email address and completing our email-verified one-time password (OTP) flow. You agree to provide accurate, current, and complete information and to keep it updated.

3.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your Account. You must immediately notify us at support@usemantis.app if you suspect any unauthorized access.

3.3 One Account Per Person

Each Account is intended for use by a single individual. Creating multiple Accounts to circumvent plan limits, free trial allocations, or any other Service restrictions is prohibited and may result in immediate termination of all associated Accounts.

3.4 Account Transfers

You may not transfer, sell, or assign your Account to another party without prior written consent from Mantis.

Services & Permitted Use

4.1 Permitted Use

Subject to these Terms and your Plan, Mantis grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own lawful internal business purposes.

4.2 Prohibited Conduct

You agree not to:

• Use the Service to crawl websites you do not own or do not have explicit permission to audit.
• Attempt to reverse-engineer, decompile, or disassemble any part of the Service.
• Use automated means (other than our provided API) to scrape, extract, or harvest Output at scale.
• Resell, sublicense, or otherwise commercialize Output or the Service itself without our written consent.
• Submit Content that is unlawful, defamatory, obscene, or that infringes any third-party intellectual property rights.
• Interfere with or disrupt the integrity or performance of the Service, including through denial-of-service attacks or excessive automated requests.
• Circumvent any access controls, rate limits, plan restrictions, or authentication mechanisms.
• Use the Service in a way that violates any applicable law or regulation.

4.3 Crawl Responsibility

You are solely responsible for ensuring you have the right to crawl any URL you submit to the Service. Mantis crawls URLs on your instruction and is not liable for any claims arising from crawling a website you did not have permission to audit. Mantis respects robots.txt directives by default; overriding these directives is your responsibility.

4.4 Availability

We strive for high availability but do not guarantee uninterrupted access. Scheduled and emergency maintenance may cause temporary outages. We will provide reasonable advance notice of planned maintenance where possible.

Plans, Billing & Credits

5.1 Subscription Plans

Mantis offers paid subscription plans billed monthly or annually. Current plans, pricing, and included allowances are published at usemantis.app/pricing. We reserve the right to change plan pricing with at least 30 days' notice to existing subscribers.

5.2 Billing

All payments are processed by Stripe. By providing a payment method you authorize Mantis to charge that method on each billing cycle. Subscriptions renew automatically unless cancelled before the renewal date.

5.3 Bonus Days

New subscribers may receive bonus days on their first billing period calculated as max(0, 14 − days since account creation). Bonus days extend the first billing cycle only and are applied as a trial period on the Stripe subscription.

5.4 Credits

• Credits may be purchased by active paid-plan subscribers to audit specific pages beyond their monthly allowance.
• Credits are non-refundable except where explicitly provided in our Refund Policy.
• Credits expire 365 days from the date of purchase.
• A 10% bulk discount is automatically applied when a single credit purchase totals $50 or more.
• Free-plan users cannot purchase Credits.
• Credits are non-transferable between Accounts.

5.5 Taxes

All prices are exclusive of applicable taxes. You are responsible for any sales, use, value-added, or similar taxes arising from your use of the Service.

5.6 Failed Payments

If a payment fails, we will retry in accordance with Stripe's standard retry schedule. After exhausted retries, your Account may be downgraded to the Free plan and access to paid features will be suspended until payment is resolved.

Free Plan

The Free plan provides exactly three (3) lifetime scans, each capped at five (5) pages. This allocation is tracked permanently in your Account and is not renewed monthly. Once all three scans are used, the Free plan provides no further scanning capability.

Free-plan users may not purchase Credits, use bot-protected site crawling (Bright Data Unlocker), or access any feature gated behind paid plans.

Upgrading to a paid plan starts a fresh monthly quota independently of any free scans used. Free scan usage is never counted against paid plan allowances.

Intellectual Property

7.1 Mantis IP

The Service, including its software, algorithms, scoring models, user interface, branding, and documentation, is owned by Mantis and protected by copyright, trade secret, and other intellectual property laws. These Terms do not grant you any rights in Mantis IP except the limited license set out in Section 4.1.

7.2 Output

Subject to your compliance with these Terms and payment of all applicable fees, you own the Output generated from your Content. You may use Output for any lawful purpose. Mantis retains the right to use anonymized, aggregated Output data to improve and develop the Service.

7.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant Mantis a perpetual, irrevocable, royalty-free license to use that feedback without restriction or compensation to you.

Your Data & Content

You retain all rights to Content you submit to the Service. By submitting Content, you grant Mantis a limited license to process, store, and transmit that Content solely to provide and improve the Service.

You represent and warrant that: (a) you own or have the right to submit your Content; (b) your Content does not violate any third-party rights or applicable law; and (c) you have obtained any necessary consents for Mantis to process your Content.

8.1 Activity Logging

Mantis logs user activity — including scans started, fixes approved, credits purchased, and billing events — with associated IP addresses for security, abuse prevention, and support purposes. These logs are retained indefinitely.

Third-Party Services

The Service integrates with or relies on third-party providers including OpenAI (GPT-4o), Bright Data (web crawling infrastructure), Stripe (payments), Resend (transactional email), and Google PageSpeed Insights. Your use of these integrations may be subject to those providers' own terms of service.

Mantis is not responsible for the availability, accuracy, or conduct of third-party services. Any degradation in a third-party service may affect Service performance and does not constitute a breach of these Terms by Mantis.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

Mantis does not warrant that: (a) the Service will be uninterrupted, error-free, or secure; (b) SEO scores or GEO readiness assessments will result in any particular search ranking outcome; (c) AI-generated fix suggestions are legally compliant or suitable for your specific use case; or (d) crawl results will be complete or accurate for all websites.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MANTIS, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE.

IN ALL CASES, MANTIS'S AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO MANTIS IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) $100 USD.

These limitations apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if Mantis has been advised of the possibility of such damages.

Indemnification

You agree to defend, indemnify, and hold harmless Mantis and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:

• Your use of the Service in violation of these Terms.
• Your Content, including any claim that your Content infringes third-party rights.
• Your crawling of websites without authorization.
• Your violation of any applicable law or regulation.

Termination

13.1 By You

You may cancel your subscription at any time through your billing settings. Cancellation takes effect at the end of the current billing period for monthly plans, or results in a prorated refund for annual plans per our Refund Policy. You may delete your Account by contacting support.

13.2 By Mantis

We may suspend or terminate your Account immediately, without prior notice, if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or pose a risk to the Service or other users.

13.3 Effect of Termination

Upon termination: (a) your license to use the Service ends immediately; (b) your access to your Account, scan history, and Output is removed; (c) any unused Credits are forfeited unless we otherwise agree; (d) all provisions of these Terms that by their nature should survive termination (including IP ownership, disclaimers, and limitation of liability) shall survive.

Governing Law

These Terms are governed by and construed in accordance with applicable law. Any disputes arising under these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration before a mutually agreed arbitrator.

Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property or confidential information.

Changes to Terms

We may revise these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, notify you by email to the address associated with your Account.

Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service and cancel your subscription before the effective date.
